Terms of Trade

1. General
All offers, sales, and deliveries are subject to these Terms unless otherwise agreed in writing. Buyer’s terms are excluded, even without specific rejection.

2. Delivery
Unless otherwise agreed, delivery is FOB port of departure and may be made in partial shipments. The buyer must:

  • Accept shipping documents,
  • Pay as agreed,
  • Collect goods on time,
  • Cover import duties and required licenses.

Standard packaging is included. Returns of packaging are not accepted. Failure to accept goods may result in cancellation or compensation after a 10-day grace period. Fixed delivery dates are not guaranteed.

3. Delays
Delays due to force majeure (e.g. strikes, war, regulatory issues) allow SIMEGA to cancel or postpone delivery.

4. Post-Delivery Time
A grace period of up to 30 days follows the delivery deadline. If the buyer still requires delivery, they must request it within 14 days. To claim compensation or cancel, the buyer must give an additional 4-week extension. No claims for delays are valid before this grace period ends.

5. Insurance
Risk passes to the buyer upon dispatch. Insurance is the buyer’s responsibility.

6. Freight
Freight charges are based on rates at confirmation. Changes after that date are borne by the buyer.

7. Payment
Payment terms are agreed upon at order. Early delivery (up to 18 days) is allowed. Buyers bear all bank charges; full payment is required. Late payments incur 10% annual interest automatically, with reminders sent 5 days after the due date.

8. Retention of Title
Ownership remains with SIMEGA until full payment is received. Until then:

  • SIMEGA may repossess goods,
  • The buyer must store and insure goods appropriately,
  • Risk still lies with the buyer.

9. Claims
Claims must be made within 14 days of receipt. No claims after processing goods. Minor or standard trade deviations are not claimable. Liability is limited to replacement or discount as accepted by the original supplier. Returns require prior written approval.

10. Fulfilment
All contracts are fulfilled in Hong Kong, including CIF agreements.

11. Complaints
Claims for defects under 3% of the total order or made more than 3 months (sea) or 2 months (air) post-shipment are not accepted.

12. Jurisdiction & Law
Disputes will be settled under Hong Kong law. SIMEGA may alternatively choose the buyer’s country/law as the applicable jurisdiction.
